If you've emigrated and left behind a South African company that no longer trades, it's easy to assume it no longer needs you. SARS doesn't see it that way, and the compliance rules still apply.

What is a public officer, and why does a dormant company need one?
Dormant doesn't mean exempt
What a nominee public officer does and doesn't do
Three levels of service
Before we start
One honest caution
Every South African company must have a public officer who lives in the country. This person is SARS's contact for the company's tax affairs, and they can be held personally accountable if returns aren't filed. If you've moved abroad, you can't fill that role yourself. And if the position stays empty, SARS expects it to be filled within 30 days.
A dormant company still has yearly obligations:
• An ITR14 income tax return to SARS, even with no income.
• A CIPC annual return, plus beneficial ownership information.
• Nil VAT201 or EMP201 returns, if the company is still registered for VAT or PAYE.
Missed filings turn into penalties and a poor compliance record. That record can matter when you apply for a tax clearance or finalise your own tax residency cessation.
A nominee public officer is a resident individual who takes on the public officer role for a fee. They:
• Appear on SARS records as the company's representative.
• Receive SARS and CIPC correspondence and pass it on.
• Make sure the required filings happen on time.
They do not:
• Remove you as a director or shareholder.
• Run the company or sign for it.
• Cover trading activity or arrears.
If you want to be fully out, the real options are to deregister the company or transfer the shares to a South African resident. A nominee is the right choice only if you want to keep the company in place, dormant, for now.
We offer three fixed-price levels:
Essential Placeholder: appointment, ITR14 and CIPC filings, and correspondence forwarded to you.
Proactive Oversight: everything above, plus nil VAT/PAYE filings where registered, quarterly status checks and an annual compliance report.
Oversight + Reactivation Ready: everything above, plus an annual advisory session and a ready roadmap if you want to trade again.
We don't offer a "do nothing" tier. If we're accountable as public officer, we have to know the filings are done.
We ask for a dormancy declaration, certified identification, and a clear list of the company's tax registrations. If the company has arrears, we quote the clean-up separately first.
Appointing a public officer doesn't settle every consequence of leaving South Africa. Your own exit tax position, and how your new country treats a foreign company you own, need advice from a tax practitioner.
